§1. Postanowienia ogólne, definicje, charakter licencji
- 1.Niniejsza umowa licencyjna użytkownika końcowego („EULA”) reguluje zasady korzystania z wtyczki FLEDIT do Adobe Premiere Pro („Wtyczka”) przez nabywcę końcowego („Licencjobiorca”) udzielaną przez Ekipa Management Sp. z o.o. z siedzibą w Krakowie, ul. Pod Sikornikiem 27A, 30-216 Kraków, wpisanej do Rejestru Przedsiębiorców Krajowego Rejestru Sądowego prowadzonego przez Sąd Rejonowy dla Krakowa- Śródmieścia w Krakowie, XI Wydział Gospodarczy pod numerem KRS: 0000873292, NIP: 6772459115, REGON: 387678707, o kapitale zakładowym w wysokości 500 000,00 zł („Licencjodawca”).
- 2.Sprzedaż Wtyczki i obsługa płatności odbywa się za pośrednictwem platformy Gumroad (gumroad.com), przy czym Gumroad występuje jako merchant of record, a sama licencja jest udzielana Licencjobiorcy bezpośrednio przez Licencjodawcę i prezentowana nabywcy w toku procesu zakupu.
- 3.Wtyczka, jej kod źródłowy i wynikowy, struktura, logika, interfejs, elementy graficzne, animacje, dźwięki oraz szablony („Elementy Wtyczki”) stanowią utwory w rozumieniu przepisów prawa autorskiego, do których wyłączne prawa przysługują Licencjodawcy, z zastrzeżeniem komponentów osób trzecich, o których mowa niżej.
- 4.Licencja ma charakter niewyłączny, nieprzenoszalny, bez prawa sublicencji, wieczysty (bez ograniczenia czasowego) i jest udzielana wyłącznie w granicach określonych niniejszą EULA.
- 5.Licencjodawca może udostępniać aktualizacje, poprawki błędów oraz nowe wersje Wtyczki. Instalacja aktualizacji może być wymagana dla zachowania kompatybilności Wtyczki z najnowszymi wersjami Adobe Premiere Pro oraz systemów operacyjnych. Brak instalacji aktualizacji może powodować ograniczenie funkcjonalności lub zakończenie wsparcia technicznego.
- 6.Wtyczka została stworzona z wykorzystaniem zewnętrznych bibliotek oraz komponentów typu open source. Użytkownik jest zobowiązany do przestrzegania warunków licencyjnych właściwych dla tych bibliotek i komponentów, zgodnie z treścią licencji udostępnionych w załączniku nr 1 do niniejszej Umowy.
- 7.Elementy Wtyczki mogły być tworzone z użyciem narzędzi sztucznej inteligencji (AI), przy czym wszelkie autorskie prawa majątkowe do Wtyczki oraz Elementów Wtyczki przysługują Licencjodawcy.
§2. Pola eksploatacji - dozwolone korzystanie z Wtyczki i jej efektów
- 1.Licencja obejmuje następujące pola eksploatacji w rozumieniu art. 50 ustawy o prawie autorskim i prawach pokrewnych z dnia 4 lutego 1994 r., w zakresie niezbędnym do zwykłego korzystania z Wtyczki przez Licencjobiorcę:
- a)Utrwalanie i zwielokrotnianie Wtyczki - sporządzanie egzemplarza programu w pamięci urządzenia Licencjobiorcy (instalacja, uruchomienie), wyłącznie w liczbie wynikającej z wariantu STANDARD/PRO;
- b)Wprowadzanie do pamięci urządzenia - w celu jej uruchomienia i korzystania zgodnie z przeznaczeniem (montaż wideo w Adobe Premiere Pro);
- c)Używanie Wtyczki do tworzenia materiału wynikowego - korzystanie z funkcji Wtyczki (animacje, efekty, szablony, notatki, makra itp.) w projektach Licencjobiorcy, w tym w projektach komercyjnych (dla klientów, na sprzedaż), oraz utrwalanie efektów Wtyczki w gotowych, wyrenderowanych filmach;
- d)Rozpowszechnianie materiału wynikowego - publiczne udostępnianie, sprzedaż, licencjonowanie lub inne rozpowszechnianie powstałych filmów (renderów) zawierających efekty Wtyczki, bez obowiązku oznaczania użycia Wtyczki, o ile nie narusza to praw Licencjodawcy do Elementów Wtyczki wykorzystywanych poza filmem.
- 2.Licencja nie obejmuje w szczególności prawa do:
- a)samodzielnego rozpowszechniania, sprzedaży, wynajmu, użyczenia, udostępniania, sublicencjonowania Wtyczki lub jej kopii, niezależnie od formy (pliki instalacyjne, archiwa, paczki, repozytoria itp.);
- b)rozpowszechniania, sprzedaży lub udostępniania jakichkolwiek Elementów Wtyczki (grafik, animacji, presetów, szablonów, dźwięków) jako osobnych plików, zbiorów, bibliotek, pakietów, nawet jeżeli zostały wyekstrahowane z Wtyczki;
- c)wykorzystywania Wtyczki lub jej Elementów w celu stworzenia konkurencyjnego produktu (np. innej wtyczki, biblioteki efektów, szablonów montażowych) w sposób stanowiący opracowanie lub odwzorowanie rozwiązań Licencjodawcy;
- d)udostępniania Wtyczki innym osobom w ramach wspólnego korzystania poza dozwolonym zakresem stanowisk (np. „dzielenia” licencji w zespole, wypożyczania klucza, instalacji w studiu wielostanowiskowym bez odpowiedniej liczby licencji).
§3. Wersje licencji
- 1.Licencja obejmuje następujące wersji w zależności od dokonanego zakupu:
- a)STANDARD - licencja dla jednego Licencjobiorcy uprawniająca do korzystania z Wtyczki na jednym komputerze; powielenie egzemplarza Wtyczki na dodatkowe urządzenia wymaga odrębnej licencji;
- b)PRO - licencja dla jednego Licencjobiorcy uprawniająca do korzystania z Wtyczki na dwóch komputerach, z możliwością dezaktywacji i przeniesienia aktywacji między urządzeniami w ramach limitu (mechanizm zwalniania miejsca).
- 2.Obie wersje licencja są personalne - przypisana do konkretnej osoby korzystającej.
- 3.Zakup licencji przez firmę (pracodawcę) oznacza nabycie uprawnienia dla jednej osoby, a każda kolejna osoba w organizacji wymaga odrębnej licencji.
§4. Usługa subskrypcyjna - dodatkowe funkcje i zasoby
- 1.„Usługa subskrypcyjna” oznacza odpłatną usługę świadczoną przez Licencjodawcę, polegającą na czasowym udostępnianiu Licencjobiorcy dodatkowych funkcji Wtyczki oraz/lub dodatkowych zasobów (w szczególności pakietów animacji) w zamian za cykliczną opłatę zgodnie z wybranym planem subskrypcyjnym.
- 2.Usługa subskrypcyjna nie zmienia charakteru licencji na samą Wtyczkę, która pozostaje niewyłączna, nieprzenoszalna, bez prawa sublicencji i wieczysta w zakresie określonym niniejszą EULA. Brak opłacenia lub wygaśnięcie subskrypcji nie wpływa na ważność licencji na Wtyczkę ani na możliwość dalszego korzystania z materiałów już wyrenderowanych z wykorzystaniem Wtyczki lub zasobów subskrypcyjnych.
- 3.Z chwilą wygaśnięcia lub nieopłacenia kolejnego okresu Usługi subskrypcyjnej Licencjobiorca traci dostęp do funkcji oraz zasobów udostępnianych wyłącznie w ramach aktywnej subskrypcji, przy czym zachowuje prawo do korzystania z Wtyczki w zakresie licencji wieczystej oraz do materiałów już wyrenderowanych. Licencjobiorcy nie przysługuje prawo do zwrotu opłat za okresy subskrypcyjne, które upłynęły lub zostały już wykorzystane.
- 4.Licencjodawca może wprowadzać różne plany Usługi subskrypcyjnej (różniące się zakresem funkcji, zasobów, okresem rozliczeniowym, ceną) oraz dokonywać zmian ich warunków (w tym cen), z zastrzeżeniem obowiązku uprzedniego poinformowania Licencjobiorcy o istotnych zmianach w rozsądnym terminie przed ich wejściem w życie, za pośrednictwem kanałów komunikacji wskazanych przez Licencjodawcę lub platformy sprzedażowej.
§5. Ochrona własności intelektualnej Licencjodawcy
- 1.Licencjobiorca przyjmuje do wiadomości, że całość Wtyczki i Elementów Wtyczki stanowi chronione utwory programistyczne, graficzne, audiowizualne i muzyczne, do których wyłączne autorskie prawa majątkowe i osobiste przysługują Licencjodawcy.
- 2.Licencjobiorca nie jest uprawniony do:
- a)usuwania, modyfikowania, zasłaniania lub pomijania informacji o prawach autorskich, oznaczeń własności, nazw handlowych, logotypów ani innych oznaczeń Licencjodawcy w Wtyczce;
- b)wyodrębniania Elementów Wtyczki, ich kopiowania poza kontekstem projektu montażowego oraz ich dalszego rozpowszechniania w jakiejkolwiek formie (pakiety, biblioteki, „preset packs”, „template packs”);
- c)wykorzystywania zewnętrznych bibliotek programistycznych w sposób sprzeczny z ich licencjami (np. usuwania not copyrightowych MIT z fragmentów kodu objętych taką licencją).
- 3.Licencjobiorca oświadcza, że nie będzie dopuszczał się inżynierii wstecznej, dekompilacji ani rozkładania kodu Wtyczki na części, z wyjątkiem przypadków wprost przewidzianych przez bezwzględnie obowiązujące przepisy prawa (np. w zakresie niezbędnym do zapewnienia interoperacyjności z innym oprogramowaniem, w granicach ustawowych).
- 4.Jakiekolwiek naruszenie powyższych postanowień (w szczególności nieuprawnione rozpowszechnianie Wtyczki, sprzedaż jej Elementów, obejście zabezpieczeń, reverse engineering dokonany poza ustawowymi wyjątkami) stanowi istotne naruszenie EULA i może skutkować:
- a)natychmiastowym rozwiązaniem licencji przez Licencjodawcę i dezaktywacją klucza;
- b)dochodzeniem przez Licencjodawcę roszczeń z tytułu naruszenia praw autorskich (w tym odszkodowania, zaniechania naruszeń, usunięcia skutków naruszeń) według właściwych przepisów.
§6. Granice dozwolonego użycia
- 1.Dozwolone użycie komercyjne: Licencjobiorca może korzystać z Wtyczki w ramach działalności zarobkowej, przyjmowania zleceń montażowych, produkcji wideo dla klientów oraz sprzedaży gotowych filmów, pod warunkiem że:
- a)Wtyczka jest zainstalowana i używana wyłącznie na liczbie stanowisk odpowiadającej nabytej wersji STANDARD/PRO;
- b)efekty Wtyczki są wykorzystywane w ramach materiału wynikowego (renderu), a nie jako samodzielne zasoby do dalszego rozpowszechniania.
- 2.Materiały wynikowe (filmy, renderowane klipy) mogą być dowolnie sprzedawane, licencjonowane, rozpowszechniane lub udostępniane, także w ramach komercyjnych bibliotek wideo, z zastrzeżeniem, że nie prowadzi to do obejścia zakazu sprzedaży Elementów Wtyczki jako samodzielnych zasobów.
- 3.Niedozwolone jest w szczególności:
- a)tworzenie z wykorzystaniem Wtyczki pakietów presetów, szablonów, efektów przeznaczonych do instalacji w innych programach montażowych i ich komercyjna lub bezpłatna dystrybucja;
- b)udostępnianie klientom oryginalnych plików Wtyczki lub paczek zasobów w sposób umożliwiający im samodzielne korzystanie z Wtyczki bez licencji od Licencjodawcy;
- c)jakiekolwiek działanie, które w praktyce prowadzi do tego, że trzeci podmiot uzyskuje funkcjonalny dostęp do Wtyczki lub Elementów Wtyczki bez nabycia właściwej licencji.
- 4.Licencjobiorca jest zobowiązany do ochrony klucza licencyjnego i nieudostępniania go osobom trzecim; dzielenie się kluczem, publikowanie go (np. w repozytoriach, na forach) lub wykorzystywanie jednego klucza przez wiele osób stanowi naruszenie EULA.
§7. Dane, techniczne egzekwowanie licencji
- 1.W toku aktywacji z komputera Licencjobiorcy przekazywany jest wyłącznie klucz licencyjny oraz anonimowy identyfikator urządzenia (HWID) wyliczany z podzespołów komputera, w celu egzekwowania limitu liczby aktywacji; nie są przekazywane imię, nazwisko, e-mail ani inne dane osobowe.
- 2.Dane tworzone przez Licencjobiorcę wewnątrz Wtyczki (notatki, licznik czasu pracy, rozliczenia, dane klientów, makra, ustawienia), a także dźwięk analizowany przez funkcje transkrypcji, automatycznej cenzury i wycinania ciszy (Transcribe, Auto Censor, Cut Silence) oraz powstałe z niego napisy, są przetwarzane i przechowywane wyłącznie lokalnie na komputerze Licencjobiorcy. Wtyczka nie wysyła telemetrii ani tych danych na serwery Licencjodawcy.
- 3.Po stronie Licencjodawcy na serwerze pośredniczącym przechowywane są wyłącznie dane licencyjne (klucz + identyfikatory urządzeń) w celu egzekwowania limitu stanowisk, zaś dane dotyczące zakupu (e-mail kupującego, transakcja, klucze, liczba aktywacji) są przetwarzane przez Gumroad zgodnie z jego regulaminem.
§8. Sprzedaż przez Gumroad, zwroty i skutek dla licencji
- 1.Gumroad jako merchant of record jest traktowany jako sprzedawca dla celów podatków pośrednich i administrowania, poboru oraz odprowadzania VAT/GST/sales tax od sprzedaży Wtyczki. Licencjodawca nie wystawia faktur nabywcom końcowym ani nie pobiera od nich zapłaty bezpośrednio.
- 2.Zwroty, obciążenia zwrotne (chargebacki) oraz spory z nabywcami są obsługiwane przez Gumroad według jego regulaminu. W przypadku skutecznego zwrotu lub chargebacku licencja udzielona niniejszą EULA wygasa, a Licencjodawca jest uprawniony do dezaktywacji powiązanego klucza licencyjnego.
§9. Odpowiedzialność, naruszenie i rozwiązanie
- 1.Wtyczka jest dostarczana „w stanie takim, w jakim jest”, a Licencjodawca nie udziela gwarancji przydatności do konkretnego celu, nieprzerwanego działania ani kompatybilności z konfiguracjami innymi niż wskazane w dokumentacji, przy czym ograniczenia te nie uchylają bezwzględnie obowiązujących uprawnień konsumenta.
- 2.W przypadku istotnego naruszenia niniejszej EULA, w szczególności naruszeń dotyczących pól eksploatacji (rozpowszechnianie Wtyczki, sprzedaż Elementów Wtyczki, obejście zabezpieczeń, dzielenie się kluczem, reverse engineering poza zakresem ustawowych wyjątków), Licencjodawca może:
- a)rozwiązać EULA ze skutkiem natychmiastowym,
- b)dezaktywować klucz licencyjny,
- c)dochodzić roszczeń z tytułu naruszenia praw autorskich i umowy, w tym odszkodowania.
§10. Prawo właściwe, jurysdykcja i zakres terytorialny licencji
- 1.Licencja udzielana na podstawie niniejszej EULA ma charakter światowy - Licencjobiorca może korzystać z Wtyczki oraz materiałów wynikowych na terytorium dowolnego państwa, z zastrzeżeniem obowiązywania lokalnych przepisów bezwzględnie obowiązujących.
- 2.Do niniejszej EULA oraz do stosunku licencyjnego pomiędzy Licencjodawcą a Licencjobiorcą stosuje się prawo polskie, z wyłączeniem norm kolizyjnych.
- 3.Wszelkie spory wynikłe z niniejszej EULA lub z wykonywania licencji będą rozstrzygane przez sąd powszechny właściwy dla siedziby Licencjodawcy, przy czym postanowienie to nie ogranicza ustawowych uprawnień konsumentów do dochodzenia roszczeń przed sądem właściwym według przepisów bezwzględnie obowiązujących.
§11. Reklamacje
Licencjobiorca może zgłaszać reklamacje dotyczące działania Wtyczki oraz licencji poprzez kanały kontaktu wskazane przez Licencjodawcę.

Native components - platform APIs
Apart from the speech-recognition components listed in the "Speech recognition"
section below (whisper.cpp and miniaudio compiled into FLEDITHelper), FLEDIT's
native components (FLEDITHelper, FE_ExtendScriptLib, FlEditImporter,
FE_ControlSurface) contain no third-party open-source libraries. Beyond the
Adobe SDK listed above they link only against the operating system's own
frameworks and the C/C++ standard library:
Windows - Windows SDK / Win32 API (GDI+, Common Controls, Shell, Desktop
Window Manager, Multimedia, WinINet, CryptoAPI and CNG, COM,
UI Automation) and the Microsoft Visual C++ runtime.
macOS - Apple frameworks (Foundation, CoreFoundation, AppKit, IOKit, Carbon,
CoreGraphics, ApplicationServices, SystemConfiguration, Security)
and CommonCrypto.
The ggml runtime shipped in the "bin/whisper" folder and the system frameworks
it uses are described in the "Speech recognition" section.
These components are used under the terms of the respective platform SDK
license agreements. No part of the Windows SDK, the Microsoft Visual C++
redistributable or the Apple SDKs is redistributed with FLEDIT; they are
provided by the operating system.UI Icons

whisper.cpp / ggml - inference engine. whisper.cpp is compiled into FLEDITHelper;
the ggml runtime and its backends ship in the "bin/whisper" folder:
Windows - ggml.dll, ggml-base.dll, the CPU backends ggml-cpu-*.dll and the
Vulkan GPU backend ggml-vulkan.dll. They use the Microsoft Visual
C++ runtime (including its OpenMP library); the Vulkan loader and
