Affiliate Programme Terms and Conditions

§1. General Provisions
- 1.These terms and conditions (the “Terms and Conditions”) set out the rules for participation in the affiliate programme concerning the FLEDIT plugin (the “Product”), operated by Ekipa Management sp. z o.o., with its registered office in Kraków (the “Organiser”).
- 2.The affiliate programme is technically implemented through the Gumroad platform, available at: www.gumroad.com, which provides mechanisms for affiliate links, sales tracking and commission calculation (the “Gumroad System”).
- 3.A programme participant (the “Affiliate”) promotes the Product using a unique affiliate link generated in the Gumroad System. Sales attributed to that link form the basis for calculating the Affiliate’s commission.
- 4.Acceptance of these Terms and Conditions by the Affiliate and the Affiliate’s addition to the programme by the Organiser constitute the conclusion of an agreement for participation in the affiliate programme between the Affiliate and the Organiser.
- 5.The Affiliate participates in the programme as an entity acting in its own name and at its own responsibility, in particular as an entrepreneur or a natural person earning income from participation in the programme in accordance with the applicable tax regulations.
§2. Joining the Programme
- 1.The condition for participation in the programme is:
- a)holding an account with Gumroad,
- b)acceptance of these Terms and Conditions,
- c)acceptance of Gumroad’s terms and rules concerning affiliation.
- 2.An Affiliate may be added:
- a)manually by the Organiser (on the basis of an email address), or
- b)through an application form made available on the Organiser’s website, following acceptance by the Organiser.
- 3.The Organiser reserves the right to refuse an application without stating reasons and to remove an Affiliate from the programme in the event of a breach of these Terms and Conditions or Gumroad’s rules.
§3. Affiliate Links
- 1.The Affiliate receives a unique affiliate link to the Product in the Gumroad System. Sales made through that link are attributed to the Affiliate by Gumroad.
- 2.“Affiliate Sale” means a transaction for the purchase of the Product in which the Gumroad System attributed the Affiliate’s participation to the given sale in accordance with its own tracking rules.
- 3.The Organiser shall not be responsible for technical tracking errors on Gumroad’s side.
- 4.The basis for calculating commissions shall be reports generated by the Gumroad System.
§4. Commissions and Settlements
- 1.The Affiliate receives a commission for each completed Affiliate Sale of the Product, the amount of which is calculated as follows: the Product’s net retail price (excluding indirect taxes) × the affiliate percentage (the “Affiliate Rate”), as determined by the Organiser in the Gumroad System.
- 2.The Affiliate Rate is specified in the product panel on Gumroad and may vary for individual Affiliates or products, within the range permitted by Gumroad.
- 3.Commissions are calculated and settled in the Gumroad System in the currency indicated in the Gumroad System.
- 4.Payment shall be made in accordance with the payment schedule and payment methods provided for by Gumroad.
- 5.The entity responsible for paying funds to Affiliates is the Organiser.
- 6.The right to payment of a commission arises solely in respect of Affiliate Sales that have not been cancelled, refunded or subject to a chargeback after the expiry of the periods for withdrawal from the agreement or for the purchaser to submit a complaint.
- 7.The Organiser may specify a minimum monetary threshold for payment of commissions, in accordance with Gumroad’s rules. Commissions below the payment threshold remain in the Affiliate’s account and shall be paid after the threshold is reached.
- 8.In the event of a Product refund, withdrawal from the agreement by the purchaser or a chargeback, the commission for the relevant sale shall be reversed or adjusted in accordance with Gumroad’s rules.
- 9.The Affiliate is responsible for settling taxes due on commissions received on its own account. Neither the Organiser nor Gumroad shall be responsible for tax settlements connected with earning income from Affiliate Sales of Products in the programme.
§5. Complaints and Raising Objections
- 1.The Affiliate has the right to submit to the Organiser a complaint or objections concerning the calculation of commissions, settlements within the Programme or the manner in which it operates, in particular where the settlement presented to the Affiliate raises doubts as to its correctness.
- 2.The complaints or objections referred to above should be submitted within 14 days from the date on which the relevant commission settlement is made available to the Affiliate or from the date on which the Affiliate becomes aware of the event giving rise to the complaint.
- 3.A complaint or objection shall be submitted by email sent to the Organiser’s address: support@fledit.com, containing at least a description of the objections, an indication of the disputed settlement or event, and data enabling identification of the Affiliate.
- 4.The Organiser shall consider the Affiliate’s complaint or objections within 30 days of receipt and shall provide a response by email sent to the Affiliate’s address associated with its account or indicated in the submission.
- 5.Failure to submit a complaint or objections within the period referred to above means acceptance of the relevant settlement and event as correct and binding on the parties.
§6. Rules for Promotion of the Product
- 1.The Affiliate undertakes to promote the Product in a reliable manner, consistent with the description of functionality on the Product website and compliant with the applicable laws concerning advertising, consumer protection and electronic services.
- 2.In particular, the Affiliate:
- a)may not make false, misleading or unverified promises regarding the functionality of the Product;
- b)should clearly label promotional material as containing an affiliate link/commercial content, in accordance with legal requirements (e.g. regulations concerning advertising and influencer marketing);
- c)may not use misleading marketing practices or breach the rules of the platforms it uses (e.g. TikTok, YouTube, Instagram) for the purpose of promoting the Product.
- 3.The following are prohibited:
- a)promoting the Product in a manner that infringes copyrights, personal rights or the rights of other persons;
- b)encouraging the circumvention of Gumroad fees (e.g. attempts to move sales outside the platform in order to avoid the Gumroad fee).
- 4.The Affiliate undertakes to comply with the rules for use of the trademarks, trade names and designations of the Product and the Organiser.
§7. Liability
- 1.The Organiser does not guarantee the Affiliate a minimum level of sales or a specified amount of commission. Participation in the programme is voluntary and depends on the Affiliate’s actual generation of Affiliate Sales.
- 2.The Organiser shall not be liable for the Affiliate’s decisions, its method of promotion, the Affiliate’s breaches of law or technical errors in the Gumroad System.
- 3.To the fullest extent permitted by law, the Organiser excludes liability for indirect damages, lost profits and other damages incurred by the Affiliate in connection with participation in the affiliate programme.
§8. Termination of Participation in the Programme
- 1.The Affiliate may terminate its participation in the programme at any time by:
- a)removing affiliate links,
- b)resigning from the role of affiliate in the Gumroad System,
- c)informing the Organiser of its resignation through direct contact with the Organiser.
- 2.The Organiser may at any time suspend or terminate the participation of a particular Affiliate in the programme, in particular in the event of:
- a)a breach of these Terms and Conditions or Gumroad’s rules,
- b)use of unfair or unlawful promotional practices,
- c)suspicion of abuse.
- 3.Termination of participation does not affect commissions due and correctly calculated for sales completed before the termination date.
§9. Personal Data Protection
- 1.The controller of the Affiliates’ personal data is the Organiser.
- 2.Affiliates’ personal data are processed in particular for the following purposes:
- a)concluding and performing the agreement for participation in the affiliate programme (Article 6(1)(b) of the GDPR (RODO)),
- b)fulfilling legal obligations incumbent on the Organiser, in particular tax and accounting obligations (Article 6(1)(c) of the GDPR (RODO)),
- c)pursuing the Organiser’s legitimate interest, namely operating the affiliate programme, pursuing claims and defending against claims (Article 6(1)(f) of the GDPR (RODO)).
- 3.Affiliates’ personal data may be disclosed to entities providing services to the Organiser supporting operation of the programme (in particular IT service providers, accountants and legal advisers) and payment operators, to the extent necessary to achieve the purposes referred to above. Gumroad is an independent entity processing the personal data of Product purchasers and a provider of affiliate infrastructure, operating under the rules set out in its terms and privacy policy.
- 4.Affiliates’ personal data shall be stored for the duration of the affiliate programme and, after its termination, for the period required by law or justified by the limitation period for claims.
- 5.The Affiliate has the right to request access to its data, rectification, erasure, restriction of processing, data portability and to object, in the cases and under the conditions specified in the GDPR (RODO).
- 6.The Affiliate has the right to lodge a complaint with the President of the Personal Data Protection Office if it considers that the processing of its data infringes the provisions of the GDPR (RODO).
- 7.Providing personal data is voluntary but necessary for participation in the affiliate programme.
- 8.Detailed information concerning the processing of personal data may be specified in a separate privacy policy available on the Organiser’s website.
§10. Amendments to the Terms and Conditions and Termination of the Programme
- 1.The Organiser may introduce amendments to these Terms and Conditions (including the Affiliate Rate) for important reasons, such as a change in the sales model, a change in costs, a change in Gumroad’s rules or changes in law.
- 2.Amendments shall enter into force upon publication of an updated version of the Terms and Conditions on the Organiser’s website. Continued use of the affiliate programme after that date constitutes acceptance of the amendments.
- 3.If the Affiliate does not accept the amendments, it should promptly terminate its participation in the programme and promptly inform the Organiser thereof.
- 4.The Organiser reserves the right to terminate the affiliate programme in its entirety at any time without an obligation to state reasons.
- 5.Termination of the programme does not prejudice the Affiliate’s right to payment of commissions due and correctly calculated for sales completed before the programme termination date.
§11. Final Provisions
- 1.The provisions of Polish law shall apply to these Terms and Conditions.
- 2.Any disputes arising from the application of these Terms and Conditions shall be resolved by the common court having jurisdiction over the Organiser’s registered office.
- 3.In matters not regulated by these Terms and Conditions, the rules of the Gumroad affiliate programme shall apply.
