End User License Agreement (EULA)

§1. General provisions, definitions, nature of the licence
- 1.This end-user licence agreement (“EULA”) governs the terms of use of the FLEDIT plugin for Adobe Premiere Pro (the “Plugin”) by the end purchaser (the “Licensee”), granted by Ekipa Management Sp. z o.o., with its registered office in Kraków, ul. Pod Sikornikiem 27A, 30-216 Kraków, entered in the Register of Entrepreneurs of the National Court Register maintained by the District Court for Kraków-Śródmieście in Kraków, 11th Commercial Division, under KRS No. 0000873292, NIP No. 6772459115, REGON No. 387678707, with share capital of PLN 500,000.00 (the “Licensor”).
- 2.The sale of the Plugin and payment processing are carried out through the Gumroad platform (gumroad.com), with Gumroad acting as the merchant of record, while the licence itself is granted to the Licensee directly by the Licensor and presented to the purchaser during the purchase process.
- 3.The Plugin, its source and object code, structure, logic, interface, graphic elements, animations, sounds and templates (the “Plugin Elements”) constitute works within the meaning of copyright law, to which exclusive rights are held by the Licensor, subject to third-party components referred to below.
- 4.The licence is non-exclusive, non-transferable, without the right to sublicense, perpetual (without time limitation), and is granted solely within the limits set out in this EULA.
- 5.The Licensor may make available updates, bug fixes and new versions of the Plugin. Installation of updates may be required to maintain compatibility of the Plugin with the latest versions of Adobe Premiere Pro and operating systems. Failure to install updates may result in limited functionality or termination of technical support.
- 6.The Plugin was created using external libraries and open-source components. The User is obliged to comply with the licence terms applicable to those libraries and components, in accordance with the text of the licences made available in Annex No. 1 to this Agreement.
- 7.Plugin Elements may have been created using artificial intelligence (AI) tools; however, all economic copyrights in the Plugin and Plugin Elements are vested in the Licensor.
§2. Fields of exploitation - permitted use of the Plugin and its effects
- 1.The licence covers the following fields of exploitation within the meaning of Article 50 of the Act of 4 February 1994 on Copyright and Related Rights, to the extent necessary for ordinary use of the Plugin by the Licensee:
- a)Fixation and reproduction of the Plugin - making a copy of the program in the Licensee’s device memory (installation, launch), solely in the number resulting from the STANDARD/PRO variant;
- b)Loading into device memory - for the purpose of launching it and using it as intended (video editing in Adobe Premiere Pro);
- c)Use of the Plugin to create Output Material - use of the Plugin’s functions (animations, effects, templates, notes, macros, etc.) in the Licensee’s projects, including commercial projects (for clients, for sale), and fixation of the Plugin’s effects in finished rendered films;
- d)Distribution of Output Material - public making available, sale, licensing or other distribution of the resulting films (renders) containing Plugin effects, without an obligation to identify use of the Plugin, provided that this does not infringe the Licensor’s rights in Plugin Elements used outside the film.
- 2.The licence does not include, in particular, the right to:
- a)independently distribute, sell, rent, lend, make available or sublicense the Plugin or copies thereof, regardless of form (installation files, archives, packages, repositories, etc.);
- b)distribute, sell or make available any Plugin Elements (graphics, animations, presets, templates, sounds) as separate files, collections, libraries or packages, even if extracted from the Plugin;
- c)use the Plugin or its Plugin Elements to create a competing product (e.g., another plugin, library of effects or editing templates) in a manner constituting an adaptation or reproduction of the Licensor’s solutions;
- d)make the Plugin available to other persons for shared use outside the permitted scope of workstations (e.g., “sharing” a licence within a team, lending a key, or installation in a multi-workstation studio without an appropriate number of licences).
§3. Licence versions
- 1.The licence includes the following versions depending on the purchase made:
- a)STANDARD - a licence for one Licensee entitling use of the Plugin on one computer; copying the Plugin onto additional devices requires a separate licence;
- b)PRO - a licence for one Licensee entitling use of the Plugin on two computers, with the possibility of deactivation and transfer of activation between devices within the limit (a slot-release mechanism).
- 2.Both licence versions are personal - assigned to a specific individual user.
- 3.Purchase of a licence by a company (employer) means acquisition of entitlement for one person, and each additional person in the organisation requires a separate licence.
§4. Subscription Service - additional functions and resources
- 1.“Subscription Service” means a paid service provided by the Licensor, consisting of temporary provision to the Licensee of additional Plugin functions and/or additional resources (in particular, animation packages) in exchange for a recurring fee in accordance with the selected subscription plan.
- 2.The Subscription Service does not alter the nature of the licence for the Plugin itself, which remains non-exclusive, non-transferable, without the right to sublicense and perpetual to the extent set out in this EULA. Failure to pay for, or expiry of, the subscription does not affect the validity of the licence for the Plugin or the ability to continue using Output Material already rendered using the Plugin or subscription resources.
- 3.Upon expiry or non-payment of the next Subscription Service period, the Licensee loses access to functions and resources made available solely as part of an active subscription, while retaining the right to use the Plugin within the scope of the perpetual licence and to use Output Material already rendered. The Licensee is not entitled to a refund of fees for subscription periods that have elapsed or have already been used.
- 4.The Licensor may introduce different Subscription Service plans (differing in the scope of functions, resources, billing period and price) and change their terms (including prices), subject to the obligation to inform the Licensee in advance of material changes within a reasonable period before they take effect, through communication channels indicated by the Licensor or the sales platform.
§5. Protection of the Licensor’s intellectual property
- 1.The Licensee acknowledges that the entirety of the Plugin and Plugin Elements constitutes protected software, graphic, audiovisual and musical works, to which exclusive economic and moral copyrights are held by the Licensor.
- 2.The Licensee is not entitled to:
- a)remove, modify, obscure or omit copyright information, proprietary markings, trade names, logos or other Licensor designations in the Plugin;
- b)extract Plugin Elements, copy them outside the context of an editing project, or further distribute them in any form (packages, libraries, “preset packs”, “template packs”);
- c)use external software libraries in a manner contrary to their licences (e.g., removing MIT copyright notices from code fragments covered by such a licence).
- 3.The Licensee declares that it will not engage in reverse engineering, decompilation or disassembly of the Plugin code, except in cases expressly provided for by mandatory provisions of law (e.g., to the extent necessary to ensure interoperability with other software, within statutory limits).
- 4.Any breach of the above provisions (in particular, unauthorised distribution of the Plugin, sale of its Plugin Elements, circumvention of security measures, or reverse engineering performed outside statutory exceptions) constitutes a material breach of the EULA and may result in:
- a)immediate termination of the licence by the Licensor and deactivation of the key;
- b)the Licensor pursuing claims for copyright infringement (including damages, cessation of infringement and removal of the consequences of infringement) under applicable law.
§6. Limits of permitted use
- 1.Permitted commercial use: the Licensee may use the Plugin in the course of gainful activity, accepting editing assignments, producing videos for clients and selling finished films, provided that:
- a)the Plugin is installed and used solely on the number of workstations corresponding to the purchased STANDARD/PRO version;
- b)Plugin effects are used within Output Material (a render), and not as standalone resources for further distribution.
- 2.Output Material (films, rendered clips) may be freely sold, licensed, distributed or made available, including as part of commercial video libraries, provided that this does not result in circumvention of the prohibition on selling Plugin Elements as standalone resources.
- 3.The following is prohibited in particular:
- a)creating, using the Plugin, packages of presets, templates or effects intended for installation in other editing programs and distributing them commercially or free of charge;
- b)making original Plugin files or resource packages available to clients in a manner enabling them to independently use the Plugin without a licence from the Licensor;
- c)any action which in practice results in a third party gaining functional access to the Plugin or Plugin Elements without acquiring the appropriate licence.
- 4.The Licensee is obliged to protect the licence key and not make it available to third parties; sharing the key, publishing it (e.g., in repositories or on forums), or using one key by multiple persons constitutes a breach of the EULA.
§7. Data, technical enforcement of the licence
- 1.During activation, only the licence key and an anonymous device identifier (HWID) calculated from computer components are transmitted from the Licensee’s computer, for the purpose of enforcing the activation-number limit; no name, surname, e-mail address or other personal data are transmitted.
- 2.Data created by the Licensee within the Plugin (notes, work-time counter, settlements, client data, macros, settings), as well as the audio analysed by the transcription, automatic censoring and silence removal functions (Transcribe, Auto Censor, Cut Silence) and the captions created from it, are processed and stored solely locally on the Licensee’s computer. The Plugin does not send telemetry or such data to the Licensor’s servers.
- 3.On the Licensor’s side, only licence data (key + device identifiers) are stored on an intermediary server for the purpose of enforcing the workstation limit, whereas purchase data (purchaser’s e-mail address, transaction, keys, number of activations) are processed by Gumroad in accordance with its terms and conditions.
§8. Sales through Gumroad, refunds and effect on the licence
- 1.Gumroad, as merchant of record, is treated as the seller for the purposes of indirect taxes and administration, collection and remittance of VAT/GST/sales tax on sales of the Plugin. The Licensor does not issue invoices to end purchasers or collect payment from them directly.
- 2.Refunds, chargebacks and disputes with purchasers are handled by Gumroad in accordance with its terms and conditions. In the event of an effective refund or chargeback, the licence granted under this EULA expires, and the Licensor is entitled to deactivate the associated licence key.
§9. Liability, breach and termination
- 1.The Plugin is supplied “as is”, and the Licensor provides no warranty of fitness for a particular purpose, uninterrupted operation or compatibility with configurations other than those indicated in the documentation; however, these limitations do not exclude mandatory consumer rights.
- 2.In the event of a material breach of this EULA, in particular breaches concerning fields of exploitation (distribution of the Plugin, sale of Plugin Elements, circumvention of security measures, key sharing, reverse engineering outside the scope of statutory exceptions), the Licensor may:
- a)terminate the EULA with immediate effect;
- b)deactivate the licence key;
- c)pursue claims for infringement of copyright and the agreement, including damages.
§10. Governing law, jurisdiction and territorial scope of the licence
- 1.The licence granted under this EULA is worldwide - the Licensee may use the Plugin and Output Material in the territory of any country, subject to applicable mandatory local laws.
- 2.This EULA and the licensing relationship between the Licensor and the Licensee are governed by Polish law, excluding conflict-of-laws rules.
- 3.Any disputes arising out of this EULA or performance of the licence shall be resolved by the common court having jurisdiction over the Licensor’s registered office, provided that this provision does not limit consumers’ statutory rights to pursue claims before the court having jurisdiction under mandatory provisions of law.
§11. Complaints
The Licensee may submit complaints concerning operation of the Plugin and the licence through contact channels indicated by the Licensor.

Native components - platform APIs
Apart from the speech-recognition components listed in the "Speech recognition"
section below (whisper.cpp and miniaudio compiled into FLEDITHelper), FLEDIT's
native components (FLEDITHelper, FE_ExtendScriptLib, FlEditImporter,
FE_ControlSurface) contain no third-party open-source libraries. Beyond the
Adobe SDK listed above they link only against the operating system's own
frameworks and the C/C++ standard library:
Windows - Windows SDK / Win32 API (GDI+, Common Controls, Shell, Desktop
Window Manager, Multimedia, WinINet, CryptoAPI and CNG, COM,
UI Automation) and the Microsoft Visual C++ runtime.

The ggml runtime shipped in the "bin/whisper" folder and the system frameworks

whisper.cpp / ggml - inference engine. whisper.cpp is compiled into FLEDITHelper;
the ggml runtime and its backends ship in the "bin/whisper" folder:
Windows - ggml.dll, ggml-base.dll, the CPU backends ggml-cpu-*.dll and the
Vulkan GPU backend ggml-vulkan.dll. They use the Microsoft Visual
