§1. General Provisions
- 1.These Terms and Conditions (the “Terms and Conditions”) set out the rules for using the FLEDIT plug-in product website and the rules for purchasing a licence for the FLEDIT plug-in (the “Product”) through the Gumroad platform available at: www.gumroad.com (“Gumroad”).
- 2.The administrator of the product website and the supplier of the Product is Ekipa Management Sp. z o.o., with its registered office in Kraków at ul. Pod Sikornikiem 27A, 30-216 Kraków, entered in the Register of Entrepreneurs of the National Court Register maintained by the District Court for Kraków-Śródmieście in Kraków, 11th Commercial Division, under KRS No. 0000873292, NIP No. 6772459115, REGON No. 387678707, with share capital of PLN 500,000.00 (the “Supplier”).
- 3.These Terms and Conditions do not constitute an EULA licence. The terms of use of the Product as software in the STANDARD and PRO versions are set out in a separate licence (EULA) made available on Gumroad, and the rules for refunds are set out in a separate refund policy (the “Refund Policy”).
§2. Nature of the Product and Method of Sale
- 1.FLEDIT is a plug-in for Adobe Premiere Pro for Windows and macOS, made available as a digital file for download and activated with a licence key.
- 2.The Product was created using external libraries and open-source components. The User is required to comply with the licence terms applicable to those libraries and components, in accordance with the terms of the licences made available in the annex to these Terms and Conditions.
- 3.The Product is sold exclusively through the Gumroad platform, which acts as the merchant of record - the seller to the purchaser - responsible for collecting payment, settling indirect taxes and processing refunds.
- 4.The Supplier grants a licence to use the Product through Gumroad (in the STANDARD and PRO versions), but does not accept payments directly from purchasers and does not issue invoices to them.
§3. Types of Licences and Intended Use of Versions
- 1.The Supplier makes the following licence tiers for the Product available:
- a)FREE - a free version made available to Users in exchange for subscribing to the Supplier’s newsletter; it is intended primarily for testing the Product’s functionality, and the terms of use of the FREE version, including any permitted commercial use, are set out in these Terms and Conditions.
- b)STANDARD - a paid version, with a licence assigned to one user and one computer; the detailed terms of use are set out in the EULA for the STANDARD version.
- c)PRO - a paid version, with a licence assigned to one user, who may use the Product on up to two devices; the PRO version licence may not be used by more than one user; the detailed terms of use are set out in the EULA for the PRO version.
- 2.The licence is granted for an indefinite period, subject to the provisions of the EULA governing the scope and manner in which Product updates, changes and any subscription features (including additional animations) are made available. Product updates also cover the FREE version of the Product.
§4. Licence for the FREE Version
- 1.The FREE version of the Product is made available to Users who subscribe to the Supplier’s newsletter by providing an email address and accepting the subscription terms, including consent to receive commercial information by electronic means, in accordance with the Privacy Policy. The FREE version is intended primarily for trial use of the Product.
- 2.The FREE version is made available without a separate fee in exchange for subscribing to the Supplier’s newsletter, on the terms set out in these Terms and Conditions and in the Privacy Policy. Making the FREE version available and consent to receive the newsletter do not change the nature of the Product licence and do not constitute a purchase of the STANDARD or PRO version; those versions are sold exclusively through Gumroad.
- 3.The FREE version may include promotional messages in the plug-in interface concerning the STANDARD or PRO versions. Such messages will be marked in a manner allowing their promotional nature to be recognised and identifying the Supplier as the promoting entity; they will not be presented in a misleading manner.
- 4.Consent to receive the newsletter electronically is separate from any consent relating to marketing messages displayed in the plug-in interface. Separate consent will be obtained for displaying such messages; giving it will be voluntary and will not be a condition of obtaining or continuing to use the FREE licence.
- 5.If the Product functionality provides an appropriate setting, the User may at any time withdraw consent to marketing messages in the plug-in interface or disable their display in the plug-in settings. Withdrawal of such consent or disabling messages does not affect consent to the newsletter. Likewise, withdrawal of consent to the newsletter does not in itself affect consent relating to messages in the plug-in interface.
- 6.The licence for the FREE version covers the following fields of exploitation:
- a)recording and reproducing effects obtained using the Product within the User’s audiovisual projects,
- b)public performance, display and making available of completed rendered videos on the Internet (including on social-media and video services), as well as their dissemination as part of non-commercial and commercial activities.
- 7.The licence for the FREE version entitles the User to use the Product in accordance with its editing purpose, in particular to create and disseminate completed rendered videos containing effects obtained using the Product.
- 8.The User is not entitled to copy, make available or distribute the FREE version of the Product itself, its code, or any of its components (graphics, animations, sounds, presets, templates) as separate files.
- 9.Withdrawal by the User of consent to receive the newsletter does not automatically terminate the licence for the FREE version.
- 10.The newsletter is operated in at least two language versions (Polish and English), assigned to separate subscriber databases for the Product domains. The User is subscribed to the appropriate database depending on the language version of the website used.
§5. Use of the Product
- 1.A User holding a FREE, STANDARD or PRO licence may use the Product in paid projects, for clients, and use the plug-in’s effects in completed rendered videos made available or sold to clients.
- 2.The User may not resell the plug-in itself or its content (graphics, animations, sounds, presets, templates) as separate files. Only the distribution of completed video renders containing effects obtained using the Product is permitted.
§6. Prohibitions and Misuse
- 1.The User may not copy, make available or distribute the Product, its code or its content.
- 2.It is prohibited to resell, rent, sublicense or transfer a licence or licence key to other persons.
- 3.The User may not share the licence key or attempt to circumvent the device-number limit (HWID).
- 4.Reverse engineering, decompilation or other interference with the Product code is prohibited, except where permitted by mandatory law (e.g. to ensure interoperability).
- 5.The User may decompile or otherwise interfere with the Product code solely to the extent and for the purposes permitted by mandatory provisions of law, in particular provisions on copyright protection and implementing Directive 2009/24/EC of the European Parliament and of the Council of 23 April 2009 on the legal protection of computer programs (e.g. to ensure interoperability), and only to the extent that such actions are necessary to achieve those purposes.
- 6.Information obtained as a result of such decompilation or other interference with the Product code may not be:
- a)used for purposes other than achieving interoperability of independently created computer programs;
- b)communicated to third parties, except where this is necessary to ensure interoperability of an independently created computer program; or
- c)used for the development, production or marketing of computer programs substantially similar in their expression to the Product or for undertaking any other acts infringing copyright.
§7. Operation of the Licence and Technical Data
- 1.After purchasing the Product, the purchaser receives a licence key from Gumroad and enters it in the plug-in for activation.
- 2.The key is verified through the Supplier’s intermediary server (on Cloudflare infrastructure), which communicates with the Gumroad system. The user’s computer does not connect directly to Gumroad.
- 3.Licence verification requires transmission only of the licence key and HWID. Product notifications retrieve only the plug-in version, licence variant and operating-system type, without an identifier. The Product does not use telemetry or analytics and does not personalise messages. Purchase data is stored by Gumroad as an independent controller. If promotional messages are displayed in the FREE version, the Supplier may use only the technical information described in these Terms and Conditions, including the device identifier (HWID), to the extent necessary for operation of the plug-in, licence verification or control of the number of activations. These Terms and Conditions do not determine whether additional personalisation of messages is used or whether other data are processed for that purpose.
- 4.A licence deactivation mechanism is available, allowing the user to free a slot on a given computer; in the case of a PRO licence, one of the two devices may be released remotely.
§8. Data and Privacy
- 1.All data created by the user in the plug-in (notes, work-time counter, settlements including client data, macros, settings), as well as the audio analysed by the transcription, automatic censoring and silence removal functions (Transcribe, Auto Censor, Cut Silence) and the captions created from it, are processed and stored solely locally on the user’s computer and are not transmitted to the Supplier or to Gumroad.
- 2.Licence data (keys, device identifiers) are stored on the Supplier’s server for the purposes of licence verification and controlling the number of activations.
- 3.Purchase data (including the purchaser’s email address, transaction information and number of activations) are processed by Gumroad as an independent data controller, in accordance with its terms and conditions and privacy policy.
- 4.The rules for processing personal data by the Supplier, including in connection with the sale of the Product, use of the FLEDIT portal and the affiliate program, are set out in a separate Privacy Policy available on the product website.
§9. Affiliate Program
- 1.The Supplier may operate the FLEDIT affiliate program through Gumroad mechanisms. The rules for participation in the program are set out in separate affiliate-program terms and conditions.
- 2.Affiliates promote the Product using unique affiliate links generated in the Gumroad system, and commissions are calculated on the basis of Gumroad reports.
§10. Refunds and Withdrawal from the Agreement
- 1.Given the digital nature of the Product and the sales model through Gumroad, the rules for refunds, withdrawal from the agreement and the consequences of chargebacks are set out in the Refund Policy for the Product and the Gumroad terms and conditions as seller.
- 2.Any effective refund (including statutory withdrawal, voluntary refund or chargeback) results in the expiry of the Product licence and deactivation of the associated licence key.
§11. Liability and Limitations
- 1.The Product is supplied “as is”, without a guarantee of achieving specified editing results. The Supplier’s liability is limited in the EULA to the fullest extent permitted by law, in particular with respect to indirect damages and lost profits.
- 2.The Supplier is not liable for technical errors, interruptions in Gumroad availability or other circumstances attributable to Gumroad or payment operators.
§12. Governing Law and Amendments to the Terms and Conditions
- 1.These Terms and Conditions are governed by Polish law, subject to mandatory provisions of the law applicable to the purchaser of the Product concerning consumer protection.
- 2.The Supplier may amend these Terms and Conditions for important reasons, in particular changes to the sales model, Gumroad rules or provisions of law. The updated Terms and Conditions will be published on the product website, and continued use of the website constitutes acceptance of the amendments.
- 3.In matters not regulated by these Terms and Conditions, the following shall apply:
- a)the EULA for the STANDARD and PRO versions of the Product,
- b)the Refund Policy for the Product,
- c)the Supplier’s Privacy Policy,
- d)the terms and conditions of the Gumroad platform as seller of the Product.
- 4.The annexes to these Terms and Conditions form an integral part thereof:

Native components - platform APIs
Apart from the speech-recognition components listed in the "Speech recognition"
section below (whisper.cpp and miniaudio compiled into FLEDITHelper), FLEDIT's
native components (FLEDITHelper, FE_ExtendScriptLib, FlEditImporter,
FE_ControlSurface) contain no third-party open-source libraries. Beyond the
Adobe SDK listed above they link only against the operating system's own
frameworks and the C/C++ standard library:
Windows - Windows SDK / Win32 API (GDI+, Common Controls, Shell, Desktop
Window Manager, Multimedia, WinINet, CryptoAPI and CNG, COM,
UI Automation) and the Microsoft Visual C++ runtime.
macOS - Apple frameworks (Foundation, CoreFoundation, AppKit, IOKit, Carbon,
CoreGraphics, ApplicationServices, SystemConfiguration, Security)
and CommonCrypto.
The ggml runtime shipped in the "bin/whisper" folder and the system frameworks
it uses are described in the "Speech recognition" section.
These components are used under the terms of the respective platform SDK
license agreements. No part of the Windows SDK, the Microsoft Visual C++
redistributable or the Apple SDKs is redistributed with FLEDIT; they are

whisper.cpp / ggml - inference engine. whisper.cpp is compiled into FLEDITHelper;
the ggml runtime and its backends ship in the "bin/whisper" folder:
Windows - ggml.dll, ggml-base.dll, the CPU backends ggml-cpu-*.dll and the
Vulkan GPU backend ggml-vulkan.dll. They use the Microsoft Visual
